Cohort Terms of Service

1) Introduction
These Terms of Service ("Terms") govern your access to and use of Cohort (the "Service"), operated by Cohort App ("Cohort," "we," "us," or "our").
By creating an account or using the Service, you agree to these Terms.

2) Eligibility
You must be at least 16 years old to use the Service.
During account creation, you must confirm that you are at least 16 years old.
You may use the Service only if you can form a binding agreement and your use complies with applicable law.
3) Accounts
- Accounts are personal to the registered user and may not be shared.
- You are responsible for maintaining the confidentiality of your credentials and for activity under your account.
- You must provide accurate information and keep it reasonably current.
- Access to Cohort is invite-based. We may approve, deny, revoke, expire, or invalidate invites and invite links at our discretion.
4) Acceptable Use
You agree not to use the Service to:
- violate law or regulations;
- post, share, or distribute unlawful, fraudulent, abusive, harassing, hateful, or threatening content;
- infringe intellectual property or privacy rights;
- distribute malware, phishing content, or harmful code;
- attempt unauthorized access, interfere with the Service, or bypass security controls;
- abuse invite systems, rate limits, or moderation/reporting systems;
- scrape or automate access in ways that burden, disrupt, or misuse the Service.
We may investigate and take action for violations, including content removal, access restriction, suspension, or termination.
5) User Content
You retain ownership of content you submit to Cohort ("User Content").
You grant Cohort a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and distribute User Content solely as needed to operate, secure, maintain, and improve the Service, and to comply with law.
You represent that you have the rights needed to submit User Content and grant this license.
6) Group Behavior & Visibility
Cohort is designed for private group collaboration. Group content is visible to users based on group membership and role permissions.
Group owners/editors may set and enforce group-level rules, but those rules cannot override applicable law or Cohort policies.
Cohort admins may access group and account data for moderation, support, operational, and security purposes.
7) Intellectual Property
The Service, excluding User Content, is owned by Cohort App and protected by intellectual property laws.
These Terms do not transfer ownership of Cohort's software, branding, or other proprietary materials.
8) Third-Party Services
Cohort relies on third-party providers, including Supabase, Vercel, Brevo, and Cloudflare.
Your use of Cohort may depend on third-party services beyond our direct control.
Cohort may display links and metadata from third-party websites.
We also use Vercel Analytics to measure usage such as page views and navigation activity.
"Send to AI" exports are user-initiated. Cohort does not currently send your group content directly to external AI providers through a server-side AI integration. If you paste exported content into third-party AI tools, you are responsible for that sharing.
9) Termination
We may suspend, restrict, or terminate access to the Service, or remove content, at any time, with or without notice, including for policy violations, legal risk, safety risk, abuse, fraud, or other conduct we determine is harmful to Cohort, users, or third parties.
You may stop using the Service at any time. Account deletion may be subject to product constraints (for example, ownership responsibilities that must be transferred or resolved first).
10) Disclaimers (Service Provided "As Is")
The Service is provided "as is" and "as available."
We do not guarantee uninterrupted availability, error-free operation, or guaranteed recoverability of data.
To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
11) Limitation of Liability
To the maximum extent permitted by law, Cohort App and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunities.
To the maximum extent permitted by law, Cohort App's total liability for claims relating to the Service will not exceed the greater of:
- amounts you paid Cohort for the Service in the 12 months before the claim, or
- USD $100.
12) Indemnification
You agree to defend, indemnify, and hold harmless Cohort App and its affiliates from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- your use of the Service,
- your User Content,
- your violation of these Terms, or
- your violation of law or third-party rights.
13) Changes to the Service
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
14) Changes to Terms
We may update these Terms from time to time.
If we make material changes, we will provide reasonable notice (for example, by updating the date above or through in-product notice).
Your continued use after changes become effective means you accept the updated Terms.
15) Governing Law; Venue
These Terms and any dispute arising out of or related to these Terms or the Service are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles.
You and Cohort App agree that any legal action or proceeding will be brought exclusively in the state or federal courts located in Connecticut, and each party consents to personal jurisdiction and venue in those courts.
